Business registration in Cambodia is the process of legally setting up a company or sole proprietorship. Registration is done online through the Ministry of Commerce, followed by tax registration and any licences needed for the sector.[1]

Common business types

  • Sole proprietorship: owned and run by one person, with no separation between the owner and the business.
  • Private limited company: the most common choice for small and medium businesses, including foreign-owned ones.
  • Public limited company: for larger companies that may offer shares to the public.
  • Branch or representative office: for foreign companies that want a presence without a separate local company.

Registration steps

  1. Choose and reserve the company name on the online system.
  2. Prepare the articles of incorporation, director and shareholder details, and a registered address.
  3. Submit the application and pay the fees online.
  4. Register with the General Department of Taxation and obtain a tax identification number.[2]
  5. Apply for sector licences, workforce registration and any permits for foreign staff.

Foreign ownership

Foreigners can own 100 percent of a company in most sectors. Land ownership is restricted to Cambodian citizens and Cambodian legal entities, so foreign investors usually lease land or use other legal structures, with independent legal advice.
