Investing in Cambodia: A Complete Guide for Foreign Investors

Investing in Cambodia gives foreign investors access to many wholly foreign-owned business activities, manufacturing export markets and incentives for eligible projects. Before committing funds, investors need to separate legal ownership rights from land ownership, check whether their activity requires a licence, calculate taxes and establish whether the market can generate a sustainable return. This guide covers the evidence and decisions that matter for companies, business buyers and property investors.

Cambodia’s investment climate in 2026

Cambodia is open to foreign capital, but economic conditions are uneven. The World Bank’s October 2026 country assessment forecasts GDP growth of 3.5% in 2026, down from an estimated 5.3% in 2025. It reports merchandise export growth of 19.2% year on year in the first eight months of 2026, driven by foreign-investment-led manufacturing. Over the same period, revenue from Angkor Archaeological Park fell by 27.4%. These figures describe different parts of the economy, not one uniform investment trend.

The World Bank attributes the slowdown to multiple shocks including higher oil prices, tighter credit and falling remittances, while also noting weak connections between foreign export manufacturers and domestic suppliers. Export manufacturing may therefore offer different prospects from discretionary consumer spending or tourism. Investors should use current business-specific evidence rather than extrapolating historic GDP growth.

Can foreigners own a Cambodian company?

Foreign shareholders can generally own 100% of a Cambodian company. A local shareholder is not universally required merely because the investor is foreign. Some regulated activities require additional approval, while land ownership is a separate constitutional restriction. Cambodia’s Council for the Development of Cambodia investment information explains its comparatively open treatment of foreign investment.

Activity Foreign investor position
Private limited company Generally permits full foreign ownership
Manufacturing, services and consulting Generally open, subject to activity-specific licensing
Import, export and distribution Broadly open, subject to product and licence restrictions
Direct ownership of Cambodian land Generally unavailable to foreign nationals
Regulated activities Specific licensing or ownership rules may apply

A company’s eligibility to trade and its eligibility to own land are distinct questions. Investors should not confuse company incorporation with permission to use land for a particular project, operate a financial business or employ foreign professionals.

Investment law and qualified projects

The Law on Investment of 2021 and its 2023 implementing sub-decree govern key investment incentives and project registration. The law recognises categories including Qualified Investment Projects (QIPs), Expanded Qualified Investment Projects (EQIPs) and Guaranteed Investment Projects (GIPs). Incorporating a company does not automatically confer QIP status. The CDC Handbook on Investing in Cambodia explains how eligible activities and incentive groups operate.

The investment framework provides statutory protections concerning expropriation, price setting and transfers of investment-related funds, within the conditions of Cambodian law. Such provisions are relevant to structuring an investment, but legal rights do not replace transaction due diligence or independent advice on dispute resolution.

What tax incentives can Cambodia offer?

The CDC incentive schedule lists priority categories including manufacturing, agro-processing, tourism, digital industries, education, health, logistics, infrastructure, environmental management and green energy. A registered eligible project may select one of two principal incentive approaches. Under the tax-exemption option, the income-tax exemption periods depend on the classified activity.

Incentive group Income tax exemption
Group 1 9 years
Group 2 6 years
Group 3 3 years

Under that option, the exemption begins when the eligible activity first earns revenue. The rules then provide six years of reduced income-tax liability at 25%, 50% and 75% of tax otherwise due, each percentage applying for two years. The alternative option involves specified depreciation and expense deductions. Depending on project status and the goods involved, qualifying imports may also receive customs duty, special tax or VAT relief. Investors must verify their own activity against the sub-decree schedules and registration certificate; the headline period is not a blanket tax holiday for all companies.

Business taxes foreign investors need to budget

Cambodia uses a self-declaration taxation system. According to PwC Cambodia’s corporate tax summary, reviewed April 2026, medium and large corporate taxpayers generally face 20% income tax, with a 30% rate applying to specified oil, gas and mineral activities. Small taxpayers may have progressive corporate rates. The minimum tax is normally 1% of turnover excluding VAT, with relief for businesses maintaining qualifying proper accounting records. Actual liabilities also depend on sector, incentives and taxpayer status.

Tax or obligation Indicative standard treatment
Corporate income tax Generally 20% for medium and large companies
VAT Generally 10% on taxable supplies
Minimum tax Generally 1% of annual turnover, subject to accounting-record exemptions
Resident payment withholding Different rates by payment type
Qualifying Cambodian-source payments to non-residents Generally 14% withholding, subject to exceptions and treaties
Salary tax Progressive resident bands, up to 20%

For example, PwC’s withholding tax summary identifies 10% withholding on certain resident rental payments and 15% on certain resident service payments, with an exception for registered taxpayers supported by a valid VAT invoice. The PwC individual tax summary sets out employee salary rates. Investors should separately model VAT cash flow, monthly filing obligations, annual patent tax, payroll contributions and the tax consequences of dividend payments or exit transactions.

Which sectors deserve closer investment research?

Cambodia’s US International Trade Administration market opportunities assessment identifies agriculture and food processing, energy, healthcare, education, technology and manufacturing among areas of commercial interest. The CDC’s priority categories provide a separate indication of where investment incentives may be available. Neither list constitutes a forecast of profit.

The sector selection should begin with a paying customer, a defensible cost advantage or a contractual revenue stream. Registered investment capital, construction activity and tourism visitor numbers alone cannot establish the profitability of an individual business.

Special Economic Zones and export operations

Cambodia’s Special Economic Zones concentrate industrial activity and can provide access to serviced sites and coordinated administrative processes. The CDC Special Economic Zone directory is a starting point for identifying zones. Investors should request an actual lease, the zone operator’s service schedule, customs procedures and utility quotations before comparing locations.

Zone location alone does not give every tenant identical tax treatment. Incentives are determined by the project’s registration, eligible activity and applicable rules. Compare industrial zones on the full landed cost per unit, including freight, electricity, rent, duties where applicable, staffing, compliance and delivery reliability.

How to establish a foreign-owned business in Cambodia

Cambodia offers online company registration through the Ministry of Commerce business registration portal. Business incorporation, tax registration, licences and investment incentive registration are not the same process. A project may also require labour registrations, permits for foreign employees or sector-specific operational permissions.

  1. Identify the precise activity, target customers, ownership structure and any restricted licences.
  2. Check the legal vehicle and prepare shareholder, director, address and incorporation documents.
  3. Complete commercial registration and relevant registration with the General Department of Taxation.
  4. Arrange banking and establish compliant accounting, invoicing and employment procedures.
  5. Apply for operating licences and any relevant QIP approval before claiming incentives.
  6. Validate real operating costs and capital requirements before signing long-term commitments.

Investors should obtain written fee schedules and procedures directly from the relevant authority. A published business registration fee is not the total cost of opening a company. Office rental, advisers, accounting, licences, deposits, equipment and working capital vary with the business model.

Can foreigners invest in Cambodian land and property?

Foreign nationals generally cannot own land directly in Cambodia. Qualifying interests in strata-title condominium units can be available under applicable rules, while leases can provide contractual access to premises or land. A foreign-owned operating company does not automatically qualify to hold Cambodian land title. Property investment should be assessed separately from company ownership and with independent Cambodian property counsel.

Before acquiring a leasehold, condominium or property-related business, independently check the title or underlying ownership, mortgages and charges, the legal status of the building, seller authority, zoning, permitted use, lease registration and transfer taxes. For a development investment, also investigate presales, financing, contractor performance and whether an exit market actually exists.

Can investors transfer profits and capital overseas?

Cambodia’s investment framework recognises the ability to transfer investment-related funds through authorised banking channels, subject to law and applicable banking and tax compliance. Investors must consider documentation, withholding taxes, dividends, debt repayment and banking checks. The National Bank of Cambodia is the relevant monetary and banking authority. Widespread use of US dollars does not eliminate currency or counterparty risks.

Principal investment risks in Cambodia

The US International Trade Administration’s November 2025 market challenges report identifies concerns relating to business entry procedures, property registration, contract enforcement, transparency, electricity costs, infrastructure and skills. Its Cambodia market overview also discusses trade exposure and concentration of investment sources. Investors should not assume these obstacles affect every business equally, but should test the risks that apply to the proposed transaction.

Risk What to verify before investing
Demand risk Customers, sales volumes, pricing and seasonality
Regulatory risk Business licences, permitted activity and renewal terms
Partner risk Beneficial ownership, reputation and litigation
Property risk Title, encumbrances, permitted use and enforceable lease terms
Financial risk Bank statements, accounting records, debt and cash conversion
Trade risk Tariffs, rules of origin, supplier dependency and shipping costs
Exit risk Resale market, transfer restrictions and buyer financing

Starting a company or buying an existing Cambodian business

Starting a business provides control over systems and branding but requires time to acquire customers. Buying an existing company can provide immediate operations but can also expose the investor to historical debts, employment claims, licences that cannot transfer, tax liabilities and unreliable reporting. The purchase structure matters: a share purchase and an asset purchase can have different legal and tax consequences.

Request at least three years of accounts where available, verify sales against bank receipts, reconcile cash and inventory, review tax filings and examine major supplier and customer contracts. For a tourism or retail business, recalculate operating profit after normal management salaries, maintenance, financing costs and seasonal downturns. A stated seller profit that excludes the owner’s labour is not the same as passive investment return.

How to decide whether a Cambodia investment is viable

A practical investment test should produce a documented answer to five questions: What activity can legally be conducted? Who will pay and what evidence supports demand? How much capital and working cash is needed? Which measurable risks could make the project fail? How can the investor recover or exit the investment?

Foreign investors should compare at least a base case, a lower-sales case and a cost-increase case using their own evidence. Projects without verified title, reliable financial records or essential licensing should not proceed merely because entry costs appear low.

Frequently asked questions

Can I own 100% of a company in Cambodia?

Generally yes, for many activities. Specific regulated sectors and land ownership remain subject to separate restrictions. Check the exact proposed business activity before registration.

Does every foreign investor get a tax holiday?

No. QIP incentives require the appropriate eligible activity and registration. The CDC describes three-, six- and nine-year basic income-tax exemption groups and separate conditions.

Can I buy land through my foreign-owned company?

Foreign company ownership does not remove Cambodia’s restrictions on land ownership. Qualifying condominium interests, leases and other permitted structures must be analysed under their own laws.

Is Cambodia a good place to invest in 2026?

It depends on the project. The World Bank reports resilient exports but weaker overall growth and tourism-related activity in 2026. A credible answer requires evidence for the specific sector, transaction and location.
