The exact scope of work will normally be defined in a proposal, quotation, statement of work, email, invoice or other written agreement.
Where a specific client agreement conflicts with these Terms, the specific client agreement will take precedence for that project.
4. Proposals, scope and changes
Proposals and quotations apply only to the work specifically described.
Anything outside the agreed scope may be quoted or charged separately.
Clients may request changes to a project. We are not required to undertake additional work until any resulting changes to cost, scope or timescale have been agreed.
Estimates, forecasts and anticipated completion dates are provided in good faith but are not guarantees unless expressly agreed otherwise in writing.
5. Client responsibilities
Clients are responsible for providing accurate information, instructions, access, approvals, materials and feedback reasonably required for us to perform the Services.
Delays caused by missing information, access, approvals or client responses may affect delivery dates.
The client is responsible for checking and approving final materials before publication, launch or commercial use where client approval forms part of the project.
The client must not knowingly provide false, unlawful, defamatory, infringing or misleading information or materials.
6. Fees and payment
Fees, deposits, subscriptions and payment schedules will be stated in the relevant proposal, invoice or agreement.
Unless otherwise agreed, payments are non-refundable once the corresponding work has commenced.
We may require deposits or advance payment before beginning work.
We may pause or withhold work, access, deliverables or services where payment is overdue.
The client remains responsible for agreed fees for work already completed or committed to before cancellation or termination.
Any banking, currency conversion, payment processing or intermediary charges are the responsibility of the client unless agreed otherwise.
7. Cancellations and refunds
Cancellation terms may be specified in individual proposals or agreements.
Where no separate cancellation terms exist, clients may cancel future work by giving written notice.
Fees already paid for completed work, work in progress, reserved time, third-party costs or committed expenditure are normally non-refundable.
We may provide a refund or credit at our discretion where appropriate.
8. Intellectual property
Be Good Consultancy retains ownership of its pre-existing intellectual property, including methodologies, systems, processes, templates, frameworks, software, code libraries, research methods, know-how and internal tools.
Ownership or licensing of project-specific deliverables will be determined by the applicable proposal or agreement.
Unless otherwise agreed, ownership of final client-specific deliverables transfers to the client after full payment.
Drafts, unused concepts, working files, internal research, development materials and rejected concepts remain the property of Be Good Consultancy unless specifically included in the agreed deliverables.
9. Client materials
Clients retain ownership of materials supplied to us.
By supplying materials, the client grants Be Good Consultancy permission to store, modify, reproduce and use those materials as reasonably necessary to provide the Services.
The client confirms that they have the necessary rights and permissions to provide those materials.
Be Good Consultancy is not responsible for claims arising from materials supplied by the client without the necessary rights or permissions.
10. Websites, domains and digital assets
Where we create or manage websites, domains, hosting, advertising accounts, social accounts or other digital assets, ownership and access arrangements may be specified separately.
Clients are responsible for maintaining accounts, subscriptions, licences, renewals and third-party services transferred into their control.
We are not responsible for losses caused by expired domains, cancelled subscriptions, third-party platform changes or client modifications made after handover.
11. Third-party platforms and services
Our services may use or integrate third-party services including search engines, social networks, advertising platforms, hosting companies, analytics providers, payment processors, software providers, artificial intelligence providers and cloud services.
These services operate independently from Be Good Consultancy.
Their availability, pricing, algorithms, policies, functionality and terms may change without notice.
We are not responsible for outages, suspensions, account restrictions, policy changes, algorithm changes, data loss or other actions caused by third-party providers.
Clients may also be required to accept the terms of those providers directly.
12. Marketing, advertising and performance
Marketing involves external factors outside our control.
We do not guarantee:
Search engine rankings
Advertising performance
Leads
Sales
Revenue
Website traffic
Social media reach
Media coverage
Conversion rates
Business growth
Investment returns
Specific commercial results
Strategies, forecasts and recommendations are based on available information, research, professional judgement and reasonable assumptions at the time.
Past performance does not guarantee future results.
13. Artificial intelligence
Be Good Consultancy may use artificial intelligence and machine learning technologies in providing Services.
This may include generative AI, language models, research systems, automation, data analysis, image generation, coding assistance, transcription, content development and other AI-assisted tools.
AI is used as a working technology and does not replace professional judgement where human review is appropriate.
Clients acknowledge that AI systems can produce inaccurate, incomplete, outdated, biased, duplicated or unexpected outputs.
AI output should not automatically be treated as verified fact.
Where accuracy is material, information should be appropriately reviewed or verified before reliance or publication.
14. AI-generated and AI-assisted content
Some deliverables may contain content created or assisted by artificial intelligence.
This may include text, research summaries, images, concepts, code, analysis, recommendations and other materials.
Unless specifically agreed otherwise, Be Good Consultancy does not guarantee that AI-generated material is unique or that similar material has not been generated independently for another person or organisation.
We do not guarantee that every AI output is free from similarities to existing third-party material.
Where intellectual property ownership, originality or exclusivity is commercially critical, the client should inform us before work begins so appropriate processes can be agreed.
15. Client use of AI systems
Where we build, configure or recommend an AI system, chatbot, automation or AI-assisted workflow, the client remains responsible for how that system is ultimately deployed and used within their organisation.
AI systems should not be used as the sole decision-maker for legal, medical, financial, employment, safety-critical or other high-risk decisions unless appropriate professional review and safeguards are in place.
Clients are responsible for ensuring their use of AI systems complies with laws, regulations, industry requirements and internal policies applicable to their organisation.
16. Confidential information and AI
We will take reasonable steps to protect confidential client information.
We will not knowingly submit highly confidential client information to publicly accessible AI systems for model training without appropriate permission.
Where third-party AI platforms are used to process information, their own privacy, security and data-processing terms may apply.
Clients should identify information requiring enhanced confidentiality, restricted processing or specific security controls before providing it to us.
Where a project requires a private AI environment, restricted knowledge base or specific data-handling requirements, these must be defined in the project scope.
17. AI availability and changes
Artificial intelligence technology changes rapidly.
Models, APIs, pricing, capabilities, restrictions, usage limits and provider policies may change or be discontinued.
Be Good Consultancy cannot guarantee the permanent availability or behaviour of third-party AI technologies.
Where a third-party change materially affects a project, additional development or migration work may be required and may be charged separately.
18. Confidentiality
Each party should treat confidential information received from the other party as confidential and use it only for legitimate purposes connected with the Services.
Confidential information does not include information that is already publicly available, independently developed, lawfully obtained from another source or required to be disclosed by law.
Specific projects may also be governed by a separate non-disclosure agreement.
19. Data and privacy
We may collect and process personal and business information reasonably necessary to operate our website, communicate with clients, provide Services, process payments, maintain records and manage projects.
Our handling of personal information is further described in our Privacy Policy.
Where a client provides personal information relating to employees, customers or other individuals, the client confirms that it has an appropriate basis for providing that information to us.
We will take reasonable technical and organisational measures to protect information under our control, but no internet-connected system can be guaranteed completely secure.
20. Acceptable use
You must not use our services, systems or deliverables to:
- Break applicable laws
- Commit fraud or deception
- Distribute malicious software
- Gain unauthorised access to systems or data
- Infringe intellectual property rights
- Harass, threaten or unlawfully discriminate against others
- Generate or distribute unlawful content
- Impersonate another person or organisation deceptively
- Manipulate, attack or compromise computer systems
- Use our technology in ways prohibited by applicable third-party provider terms
We may refuse, suspend or terminate work that we reasonably believe involves unlawful, fraudulent or seriously harmful activity.
21. Professional advice
Unless specifically agreed in writing, Be Good Consultancy does not provide legal, accounting, tax, investment, medical or regulated financial advice.
Research, analysis and AI-generated information provided through our Services should not be treated as a substitute for advice from an appropriately qualified professional where such advice is required.
22. Availability
We aim to provide reliable Services but do not guarantee uninterrupted availability of websites, platforms, AI systems, hosting, software or other technology.
Maintenance, technical failures, cyber incidents, internet outages and third-party service interruptions may temporarily affect availability.
23. Limitation of liability
To the maximum extent permitted by applicable law, Be Good Consultancy will not be liable for indirect, incidental, special or consequential losses arising from the Services.
This includes loss of profits, revenue, opportunities, customers, anticipated savings, reputation, goodwill or data.
Except where liability cannot legally be limited, our total aggregate liability relating to a particular project or service will not exceed the fees actually paid to Be Good Consultancy for that project or service during the three months immediately preceding the event giving rise to the claim.
Nothing in these terms excludes liability that cannot legally be excluded.
24. Indemnity
The client agrees to be responsible for claims, losses or reasonable costs resulting from materials, instructions or activities supplied or authorised by the client that infringe third-party rights or violate applicable law.
This does not apply where the claim results directly from misconduct or unlawful activity by Be Good Consultancy.
25. Suspension and termination
We may suspend or terminate Services where:
- Payments are overdue
- The client materially breaches an agreement
- Required cooperation is repeatedly withheld
- Continuing the project would create a legal, security or reputational risk
- The Services are being used unlawfully
- The working relationship has materially broken down
Either party may terminate ongoing Services according to the cancellation provisions in the applicable agreement.
Termination does not remove obligations or payment liabilities that arose before termination.
26. Portfolio and publicity
Unless confidentiality has been agreed, we may identify publicly available completed work as part of our portfolio or professional experience.
We will not publish confidential client information or private commercial information without permission.
Clients may request in writing that a project remains private.
27. Force majeure
Neither party will be liable for delays or failure caused by circumstances reasonably outside its control.
These may include natural disasters, severe weather, war, civil disturbance, government action, telecommunications failures, power outages, cyber incidents, epidemics, infrastructure failures or major third-party service disruptions.
28. Changes to services and terms
We may update our Services and these Terms from time to time.
The latest version will be published on our website with the date of the latest update.
Changes will not retrospectively alter agreed commercial terms for completed work.
Material changes affecting ongoing contractual Services will apply subject to applicable law and any specific client agreement.
29. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
30. No waiver
Failure by either party to enforce a provision of these Terms does not permanently waive the right to enforce that provision later.
31. Governing law and disputes
These terms and the services provided by Be Good Consultancy are governed by the applicable laws of the Kingdom of Cambodia.
The parties should first attempt in good faith to resolve any dispute through direct discussion.
Where a dispute cannot be resolved informally, it will be subject to the competent courts and applicable dispute-resolution procedures of the Kingdom of Cambodia, unless a separate written client agreement provides otherwise.
Clients operating internationally remain responsible for complying with laws and regulations applicable to their own activities and jurisdictions.
