How to Start a Business in Cambodia as a Foreigner | Registration, Costs and Taxes

Foreigners can start a business in Cambodia with 100% ownership in most sectors, but company registration is only one part of operating legally. A foreign founder needs to choose the correct structure, register for tax, check activity-specific licences and comply with immigration and employment rules. The Council for the Development of Cambodia (CDC) confirms that a Cambodian business does not generally require Cambodian shareholder participation. This guide sets out the decisions, costs, documents and continuing obligations that matter before investment.

Can a foreigner own 100% of a Cambodian business?

Yes, in most sectors. A foreign individual or foreign company can generally establish a wholly owned Cambodian company without appointing a Cambodian shareholder. Restrictions can arise in regulated activities, and particular permits may have additional ownership or professional requirements. Company ownership must also be distinguished from land ownership: the CDC land guidance states that foreign individuals and entities cannot own Cambodian land directly. Qualifying Cambodian legal entities need at least 51% Cambodian ownership for land ownership purposes.

A foreign-owned company can usually lease commercial premises for offices, retail, hospitality or industrial use. Before signing a long lease, check the landlord’s title, permitted use, building approvals, termination provisions and whether the intended activity can be licensed at that address. Using a nominal Cambodian shareholder solely to bypass land restrictions creates legal risk.

Which business structure should a foreign investor choose?

Structure Suitable use Main consideration
Single-member private limited company One owner wanting a separate legal entity Limited liability subject to applicable law and guarantees
Private limited company Businesses with multiple shareholders or investors Shares, governance and transfer arrangements need documentation
Branch of foreign company Existing overseas business operating in Cambodia The foreign parent can remain responsible for branch obligations
Representative office Overseas company undertaking liaison and market research Generally not a vehicle for ordinary revenue-generating trade
Sole proprietorship or partnership Smaller activities where the structure is legally available Personal liability and tax classification need careful assessment

For an independently run foreign-owned consultancy, trading business or service company, a private limited company is often the starting structure to evaluate, not an automatic choice. Cambodia’s commercial enterprise guidance explains share and governance rules. It describes a company issuing at least 1,000 shares with a par value of KHR 4,000 each, producing a KHR 4 million reference amount. This is registered share capital, not a government fee or an estimate of total startup cash.

How to register a business in Cambodia: the actual process

The government Online Business Registration portal integrates registration with the Ministry of Commerce, General Department of Taxation and Ministry of Labour and Vocational Training. Applicants access it through CamDigiKey. The portal says complete applications can obtain core registrations and the enterprise-opening notification within eight working days. Specialist licences may require a different review period.

  1. Check whether the planned activities are open to the proposed ownership structure and identify each required sector licence.
  2. Select the company form, shareholder arrangement, registered address, directors and business activities.
  3. Prepare identification, company and premises documentation; obtain overseas corporate documents where the shareholder is another company.
  4. Create or access a CamDigiKey account and submit the incorporation application through the official online portal.
  5. Pay the displayed government fees and respond to any document queries.
  6. Receive the approved digital corporate and tax documents, and complete any required original-document formalities.
  7. Secure industry-specific operating approvals, arrange accounting and banking, and complete employee, immigration and social security formalities before the relevant activity begins.

The government Online Business Registration User Guide identifies different requirements for company shareholders, directors, addresses and parent entities. The registration site also explains that applicants may need to deposit signed original articles with the Ministry of Commerce after digital approval. Do not treat a successful incorporation certificate as proof that every regulated activity is licensed.

Documents foreign founders should prepare

Document requirements may vary with the legal structure, ownership chain and nationality of the parties. Corporate records originating overseas may require extra certification or translation. Review the current portal checklist before paying: the registration portal says fees are generally not refunded where an unsuccessful application is not caused by the system.

How much does it cost to start a company in Cambodia?

The government published fee schedule lists KHR 25,000 for a company name reservation and KHR 1,010,000 for company registration, before applicable tax registration and opening-notice costs. Its medium-taxpayer illustration includes KHR 400,000 for tax registration, KHR 600,000 for a discounted first-year patent tax and KHR 120,000 for the enterprise-opening notice. On those published assumptions, the five fees total KHR 2,155,000, approximately US$539 at KHR 4,000 per dollar. This is an illustration based on that guide, not a current universal quote.

Actual fees depend on taxpayer size, selected activities, entity form and any changes to the fee schedule. The guide notes that its first-year patent-tax amount is discounted; subsequent years can differ. Additional spending may include lawyers, an accountant, premises, visas, permits, insurance, equipment, wages and working capital. The official fee guidance says costs vary by registration and licensing requirements.

Budget line How to estimate it
Government incorporation Calculate using the portal and current fee schedule
Sector licences Identify each approval for the actual business activity
Premises Lease, deposits, fit-out and utilities
Professional support Written scope and fee quotation from lawyer or accountant
Staffing Gross payroll plus mandatory employer obligations
Operating capital Cash needed until customer payments cover expenditure

For example, a consulting firm with two staff and a rented desk can have fundamentally different capital requirements from a restaurant with kitchen equipment, food-service licences and a commercial lease. The correct budgeting question is not simply the cost of a certificate, but the amount required to become compliant and operate without running out of cash.

What taxes does a foreign-owned company pay in Cambodia?

Tax treatment depends on legal structure, turnover classification, taxable activities and available relief. PwC’s Cambodia corporate income tax summary, reviewed April 2026 states that standard corporate income tax for medium and large companies is 20% of taxable profits. Small taxpayers are subject to a progressive schedule, while some industries have special rules. The same source discusses a 1% minimum tax on turnover and an exemption for enterprises maintaining proper accounting records, subject to the applicable criteria.

Tax General position
Corporate income tax Usually 20% of taxable profit for medium and large companies
VAT Usually 10% on taxable supplies; exports and exempt items require separate treatment
Prepayment of income tax Generally 1% of turnover excluding VAT, with applicable exceptions and reliefs
Withholding tax on rent to resident recipients Commonly 10%, subject to the relevant rules
Withholding tax on certain resident services Commonly 15%, with important exceptions including qualifying VAT-invoice treatment
Certain Cambodia-source payments to non-residents Generally 14%, subject to law and applicable treaty treatment

The general VAT rate is confirmed by PwC’s other taxes summary. The resident and non-resident withholding rates and exemptions are described in its withholding-tax summary. Do not apply these rates blindly to every invoice. A valid VAT invoice, the recipient’s tax status, the nature of the service and other conditions can alter the withholding obligation.

As a simple profit illustration, US$100,000 in revenue less US$75,000 in allowable costs leaves US$25,000 of taxable profit; at a 20% rate the tax would be US$5,000 before prepayment credits and other adjustments. The company also needs to account for VAT, withholding and other taxes separately. Registering a company can create monthly and annual filing duties even where turnover is modest. Confirm filing dates and electronic declarations with the General Department of Taxation.

Can a foreign business owner live and work in Cambodia?

Owning shares does not automatically confer permission to reside in Cambodia or work for the company. Immigration status, company directorship and employment authorisation must each be assessed. Check the current visa arrangements through the official Cambodian e-Visa portal and confirm work-permit treatment with the labour authorities for the individual’s actual duties. A company registration certificate alone is not a residence or work permit.

Hiring Cambodian and foreign employees

Employers should have compliant contracts and payroll processes and address wage, leave, termination and labour reporting requirements. Applicable employers also need to register with the National Social Security Fund and make the required contributions under the relevant schemes. Worker nationality does not remove ordinary employer obligations.

Employing foreign nationals raises additional quota and work-permit issues. In its September 2026 update, KPMG reports that enterprises intending to employ foreign workers in 2027 must apply for foreign manpower quota approval between 1 September and 30 November 2026. The Foreign Workers Centralised Management System is the application channel. The notice also addresses newly established businesses. Employers should verify individual permit renewals separately from quota approval.

Which businesses need extra operating licences?

A commercial registration authorises the legal entity; it does not necessarily authorise every activity. Tourism accommodation, food service, travel agencies, regulated financial activities, property brokerage, construction and manufacturing can trigger different ministries, regulators or local authorities. E-commerce, import-export activities and product-specific trades may bring further obligations. The registration portal integrates some specialist licences and provides separate application guidance.

The practical way to test a business idea is to create an activity-by-activity licence list before committing to a lease or buying equipment. A hotel that also serves food or operates tours should investigate each activity, rather than assuming its accommodation approval covers all services.

Can foreign companies buy land or purchase existing businesses?

Foreign companies generally cannot own Cambodian land unless the legal entity meets the Cambodian nationality test. The CDC explains the 51% Cambodian ownership threshold for qualifying entities. Leasing is a separate right and may be suitable for legitimate operating premises. A purchase of a business’s shares does not automatically transfer clear title to the land used by that business.

Buying an existing company requires more due diligence than checking its registration certificate. Verify shareholder authority, company records, financial statements, historic tax filings, unpaid liabilities, licences, major contracts, employment commitments, beneficial ownership and the property arrangements. The Ministry of Commerce registry is a starting point for checking registration details, not proof that the enterprise is solvent or compliant.

Do foreign-owned businesses qualify for investment incentives?

Some investments can be registered as Qualified Investment Projects through the CDC, but ordinary incorporation does not automatically grant tax holidays. The CDC incentive guidance distinguishes eligible activity groups with potential corporate income-tax exemptions of three, six or nine years, together with other conditional incentives. The available relief depends on project type, classification and compliance. The 2021 Law on Investment provides the underlying legal framework.

These incentives deserve investigation for a qualifying manufacturing, agricultural processing, logistics or other prescribed investment project. They should not be included in a small company’s business plan before its project has been evaluated for eligibility.

What continuing compliance applies after incorporation?

Company owners should calendar annual commercial declarations, patent-tax renewals, financial reporting, tax returns, employee requirements and any sector-licence renewals. Cambodia also introduced a significant new financial-reporting instrument in August 2026. KPMG’s September 2026 summary of Prakas No. 063 states that the instrument replaces the previous rules and generally applies to enterprises and nonprofit entities other than small taxpayers. For applicable entities, unaudited statements are generally due within three months and 20 days after year-end, and audited statements within six months and 20 days; audit thresholds and other conditions must be checked.

The distinction matters because an older guide may still quote the superseded financial audit thresholds. A founder should ask an accountant to classify the new company under the current rules and create a compliance calendar before the first trading month.

A decision checklist before spending money

  1. Confirm whether your intended activity permits your proposed foreign ownership and corporate form.
  2. Identify all sector licences and verify that the proposed address can be used legally for the activity.
  3. Calculate both the government registration charges and the complete first-year cost of operating.
  4. Prepare shareholder agreements and commercial leases before disputes or major commitments arise.
  5. Check company, tax and bank documentation requirements, especially where shareholders are overseas entities.
  6. Resolve visa, work-permit, foreign staffing quota and NSSF responsibilities before hiring.
  7. Engage appropriate local legal and tax professionals for regulated activities, property issues or significant investment.
  8. Set up monthly accounting, tax filings and annual corporate compliance from the beginning.

The most useful next step for a foreign founder is to match one clearly defined business activity with one ownership structure, one premises plan and a complete list of registrations. That provides a basis for accurate quotations, licence checks and an operating budget rather than relying on a generic incorporation price.

Frequently asked questions

Do I need a Cambodian partner to form a company?

Not generally. The CDC states that there is no general local-equity requirement for establishing a business, although some regulated activities and land-owning structures have restrictions.

Can I register a Cambodian company without visiting an office?

The core application is online through the government registration portal, but additional document, banking or licence procedures may require original paperwork, personal attendance or a representative.

Can I run a Cambodian company from rented premises?

Often yes. The lease must suit the activities, the landlord must have authority to grant it, and any licensing or land-use rules must be satisfied.

Will a Cambodian company automatically qualify for a tax holiday?

No. Incentives depend on qualifying activities, CDC procedures and applicable conditions, as explained in the CDC incentive framework.
